Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the ProcureCortex platform (“Service”), provided by ProcureCortex, Inc. (“Company,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms.

You must be:

• At least 18 years old
• Authorized to act on behalf of your organization

If you are using the Service on behalf of a company, you represent that you have authority to bind that entity.

ProcureCortex provides:

• AI-powered vendor risk assessments
• Document analysis and compliance evaluation
• Risk scoring and reporting tools

The Service is intended to assist users in evaluating vendor risk and compliance posture.

The Service does not constitute legal, regulatory, or compliance advice. Outputs are informational, based on available data, and not guaranteed to be complete or accurate. Users are responsible for their own compliance decisions.

You retain ownership of all data you upload (“Customer Data”). You grant us a limited license to process data, analyze documents, and provide the Service. We do not sell your data.

You agree not to:

• Upload unlawful, harmful, or infringing content
• Attempt to access other customers' data
• Interfere with system security
• Reverse engineer or misuse the Service

We implement reasonable technical and organizational measures to protect data. However, no system is completely secure. You are responsible for maintaining access credentials.

If you purchase a subscription:

• Fees are billed annually unless otherwise agreed
• Invoices are payable according to agreed terms (e.g., Net 30)
• Fees are non-refundable unless otherwise specified

Failure to pay may result in suspension.

We retain all rights to the platform, algorithms, models, and software. You retain rights to your data.

Both parties agree to:

• Protect confidential information
• Use it only for intended purposes

We aim to provide reliable service but do not guarantee uninterrupted access or error-free performance. We may update or modify the Service.

To the maximum extent permitted by law:

• We are not liable for indirect or consequential damages
• Total liability is limited to fees paid in the preceding 12 months

You agree to indemnify ProcureCortex against claims arising from your use of the Service, your data, or violations of these Terms.

We may suspend or terminate access if:

• Terms are violated
• Payment is not made

You may terminate use at any time.

These Terms are governed by the laws of Delaware.

We may update these Terms from time to time. Continued use constitutes acceptance.
